1. Purpose and scope
These terms govern the services provided by Tessa van de Ven, sole proprietor (SIRET 795 253 442 00037), who operates the website tvdv.online, to business clients (“the Client”). They apply to every order, unless an accepted quote states otherwise in writing. The Client confirms that they act for business purposes.
2. Services
Three offers are available. The visibility audit: a report on one target market (local keywords, competitors, a test of 20 queries in AI assistants, product feed issues, quick wins) followed by a 45-minute debrief. The market launch: localization of 30 to 50 key pages and products, SEO structure, Shopify Markets setup, a Google Shopping feed and a 90-day action plan. Monthly growth: content, feed maintenance, Google Ads and Shopping, a monthly report and, optionally, a variable share. The exact scope and timing of each assignment are set out on the offer page or in the quote.
3. Orders
The audit is ordered online and the order is binding once payment is received. The market launch and monthly growth are subject to a quote: the contract is formed when the quote is accepted (signature or written agreement by email) and the deposit is paid.
4. Prices
Prices are in euros. VAT not applicable, article 293 B of the French General Tax Code. “From” prices are indicative for offers sold by quote. Third-party tools and subscriptions, and advertising budgets (Google Ads in particular), are not included and are paid directly by the Client.
5. Payment
Audit: full payment at the time of order, by card through Stripe. Market launch: 50% when the quote is accepted and 50% on delivery. Monthly growth: paid in advance, each month. Unless the quote states otherwise, invoices are payable on receipt. In case of late payment, penalties apply at three times the legal interest rate, without prior notice, together with a fixed recovery fee of 40 euros (articles L. 441-10 and D. 441-5 of the French Commercial Code). I may suspend the services in case of non-payment.
6. Credit of the audit fee
If the Client orders the market launch within 30 days of receiving the audit report, the audit fee is credited against the price of the market launch.
7. Variable share (optional)
It comes on top of a monthly fee and applies only to the revenue growth of the new market, above a baseline agreed in advance, with a monthly cap and shared access to the figures. Its terms are set out in the quote or contract.
8. Obligations of the parties
I am bound by an obligation of means: no search engine position, traffic level or revenue is guaranteed, as these depend on factors outside my control. The Client provides the necessary access and information (Shopify store, Google Search Console, GA4, etc.) and approves deliverables within a reasonable time. Deadlines start once access has been received and payment is due.
9. Term and termination
The audit and the market launch end on delivery. Unless the quote states otherwise, monthly growth renews automatically each month and may be terminated at any time by email with 30 days’ notice; any month that has begun is due.
10. Intellectual property
Deliverables (texts, translations, configurations) are assigned to the Client for its own use once payment has been made in full. I keep my methods, tools and know-how. Unless the Client objects in writing, I may cite the Client as a reference.
11. Confidentiality and personal data
Each party keeps confidential any non-public information exchanged as part of the assignment. Personal data is processed in accordance with the privacy policy.
12. Liability
My liability is limited to direct damage and capped at the amount, excluding VAT, paid by the Client for the assignment concerned. I am not liable for indirect damage (loss of revenue, traffic or customers).
13. Force majeure
Neither party is liable for a failure caused by force majeure within the meaning of article 1218 of the French Civil Code.
14. No right of withdrawal
These terms are intended for business clients: the right of withdrawal provided for consumers does not apply.
15. Governing law and disputes
These terms are governed by French law. In case of a dispute, the parties will first seek an amicable solution. Failing that, the competent courts in the jurisdiction of the service provider’s business address have exclusive jurisdiction.
